Project Description:
The European Bank for Reconstruction and Development (the "Bank" or "EBRD") is considering a loan of up to EUR 290 million to the Republic of Egypt, to be on-lent to Egyptian National Railways ("ENR" or the "Client") for the purchase of up to 100 new locomotives under a Supply and Maintain contract (the "Project").

It is expected that the Project will comprise the following elements:
• Acquisition of up to 100 new locomotives to operate on the passenger long distance routes;
• Provision of maintenance under a long-term maintenance contract to be signed between ENR and the supplier of the locomotives in the same time of the supplying contract with substantial transfer of availability risk to the locomotive supplier.

The Project will be tendered in accordance with EBRD Procurement Policies and Rules (PPR) It is anticipated that the Project will be procured following a two-stage tendering process and the tender documents shall be prepared on the basis of EBRD’s Supply and Install standard bidding documents.

The Project will be managed on a day-to-day basis by a Project Implementation Unit ("PIU") which has already been established by ENR and in coordination with the other relevant departments within ENR. The PIU will have day-to-day responsibility for the assets to be financed via the Project and will co-ordinate all activities under the Project and coordinate between the contractors, and the EBRD.

Assignment Description:
In order to support the objectives of the Project, the Client now intends to retain a consulting firm (the "Consultant") to provide assistance to the Client in all aspects of project implementation, including preparation of draft contract(s), technical specifications, tender documents, assistance with tendering phase, tender evaluation contract finalization and any complaints, administration and supervision of the contract implementation (including acceptance of delivery(ies), as well as set up of the disbursement system as well as assisting ENR in monitoring the production process(es) of any goods procured in relation to the Project (the "Assignment").

In order to deliver the Assignment the Consultant will undertake the following tasks (in addition to the above):
• Assisting the procurement of Project components in accordance with EBRD PPR;
• supporting the Project Entity (ENR) during the implementation of contracts;
• assist the Project Entity (ENR) in meeting the works schedule;
• assessing any requests of change(s) variation orders;
• assisting the Client in reviewing the final design documents;

Status of Selection Process:
Interested firms or group of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration:
The Assignment is expected to start in Q4 2017 and has an estimated overall duration of 42 months.

Maximum Budget available for the Assignment:
EUR 600,000.00 (exclusive of VAT).
The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source:
It is anticipated that the contract will be financed by the EBRD Shareholder Special Fund. Selection and contracting is subject to the availability of funding.

Eligibility:
There are no eligibility restrictions.

Consultant Profile:
Corporate services are required. The Consultant will be a firm or a group of firms with extensive previous experience in

• in project implementation support, including specific experience in regards to the purchase of locomotives; and
• the design, procurement and engineering supervision of projects in the rail sector financed by international financial institutions such as the EBRD, World Bank, ADB, etc

The consultant shall be responsible for professional staff with proven experience in project management, procurement, rolling stock detailed technical specification drafting, long-term maintenance contract specification and drafting, administration of similar contracts under IFI procurement rules and regional experience.

The Consultant"s expert team is expected to include at least the following key experts:

(i) A Project Manager with preferably the following:
• a B.Sc. or equivalent in traffic, civil, mechanical or electric engineering.
• 15 years or more of general professional experience.
• 10 years or more of professional experience related to the transport sector: project management, administration, consultancy, operations, maintenance, construction, or similar.
• 5 years or more of professional experience related to project management in projects with similar magnitude.
• similar experience with at least 2 projects (new or refurbished railway lines) in the railway sector.
• Excellent written and spoken English; working knowledge of Arabic will be considered an advantage.
• Previous experience in comparable projects in the region would be an advantage.

(ii) A Rolling Stock Expert with preferably the following:
• a B.Sc. or equivalent in the respective field of engineering.
• 10 years or more of general professional experience.
• 5 years or more of professional experience related to rolling stock, including the provision of technical specifications for locomotives and related to maintenance requirements.
• Excellent written and spoken English; working knowledge of Arabic will be considered an advantage.
• Previous experience in comparable projects in the region would be an advantage.

(iii) A Procurement Specialist with preferably the following:
• 10 years or more of general professional experience.
• have completed at least 2 full IFI tender processes for projects of similar scope, magnitude and complexity to the one subject to this ToR.
• thorough knowledge and understanding of IFIs (EBRD/WB/EIB) procurement procedures, preferably EBRD, and FIDIC Conditions of Contract.
• Excellent written and spoken English; working knowledge of Arabic will be considered an advantage.
• Previous experience in comparable projects in the region would be an advantage.

(iv) A Legal/Contracts Expert with preferably the following:
• Appropriate legal qualification in the field.
• 10 years or more of general professional experience.
• 5 years or more of professional experience related to the drafting and management of maintenance contracts, preferably in relation to rolling stock.
• Excellent written and spoken English; working knowledge of Arabic will be considered an advantage.
• Previous experience in comparable projects in the region would be an advantage.

(v) A Financial/Disbursements Expert with preferably the following:
• at least a B.Sc. (or documented as equivalent) in a field related to the specified role.
• 7 years or more of general professional experience.
• 5 years or more of professional experience related to the management of disbursements, preferably related to contracts concerning rolling stock.
• Excellent written and spoken English; working knowledge of Arabic will be considered an advantage.
• Previous experience in comparable projects in the region would be an advantage.

Non-Key Experts are expected to include support staff such as translators, office managers, etc.

Submission Requirements:
In order to determine the capability and experience of Consultants to be shortlisted, the information submitted should include the following:

a. brief overview of the firm/group of firms including company profile, organisation and staffing;

b. details of previous project experience of firm or group of firms and related assignments undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, percentage carried out by consultant in case of association of firms or subcontracting, main activities, objectives;

c. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.

The expression of interest shall not exceed 25 pages (excluding CVs and contact sheet).

The complete expression of interest (including CVs, Consultant Declaration and Contact Sheet) should be submitted, in English via email (pdf) to the Client"s contact person, to reach the Client not later than the closing date. One additional copy (in English only) shall reach the Bank"s contact person by the same due date. The expression of interest shall be one file (pdf). The Client reserves the right to reject applications of firms submitting more than one file. Only if any limitation on the permissible file size is exceeded, the Consultant may split the expression of interest into further files.

Important Notes:
1. Following this invitation for expressions of interest, a shortlist of qualified firms will be formally invited to submit proposals. Consultant selection and contracting will be subject to availability of funding.

2. Expressions of interested will be evaluated against the following shortlist criteria and weightings:

a) Firm"s previous experience in project implementation support, including specific experience in regards to the purchase of locomotives; 25%
b) Firm"s previous experience in the design, procurement and engineering supervision of projects in the rail sector financed by international financial institutions such as the EBRD, World Bank, ADB, etc; 25%
c) Skills, qualifications and experience of the team of proposed Key Experts. 50%.
